Terms of Use

These terms form an agreement between you and Yumi Nexus for use of the hosted website, assistant, connection codes and connected experiences we provide.

1. Agreement

By accessing or using a hosted Yumi Nexus service (“Yumi”), you agree to these Terms of Use and the Privacy Policy. If you do not agree, do not use the service.

2. Scope

These terms cover hosted services operated at yumi.nexus, including the website, shared account features, assistant conversations, connection codes and hosted Yumi Edge experiences. Temi and Memori have product-specific terms. The open-source Yumi Agent software is governed by its repository licence and any terms set by the person or organisation operating a self-hosted copy.

3. Eligibility, account and credentials

You must be at least 13 years old and legally able to enter this agreement. You are responsible for accurate account information, safeguarding your credentials and connection codes, and activity under your account. Do not share a connection code with someone you do not trust; a valid code can authorise access to linked Yumi experiences until it is reset.

4. Your content and our limited permission

Your messages, prompts and content remain yours. You give us only the permission reasonably necessary to host, process, transmit and retain that content to operate Yumi, respond to you and perform actions you request. You represent that you have the right to provide the content and connect any software, account or device you authorise.

5. AI output and connected actions

Yumi uses AI and can make mistakes, misunderstand instructions or produce incomplete output. You are responsible for reviewing output and confirming important information. Do not rely on Yumi as an emergency, medical, legal, financial or other safety-critical service.

When Yumi can operate connected software or devices, review the requested action and use appropriate safeguards. Do not connect tools that can cause physical harm, major financial loss, unlawful access or irreversible consequences without independent access controls and human confirmation. You remain responsible for actions you authorise.

6. Third-party and connected services

Yumi may interact with third-party services such as Telegram, Discord, LINE, Google, GitHub or connected Yumi Edge tools. Your use of those services is also governed by their terms. We are not responsible for third-party services, their availability, or changes they make. You may disconnect a service or reset a connection code at any time.

7. Free access, plans and paid features

Yumi may offer limited free usage, subscriptions or other paid features. Current limits, eligibility, prices, renewal terms and cancellation options will be shown before purchase. We may adjust free usage or fair-use safeguards to protect service quality. Product-specific App Store subscriptions are also subject to the terms shown by Apple and the relevant product terms.

8. Acceptable use

You must not use Yumi to violate law or another person’s rights; gain unauthorised access; distribute malware; facilitate fraud, harassment or abuse; bypass quotas, confirmations or security controls; disrupt the service; probe other users’ accounts; or automate usage at abnormal volume. We may investigate and restrict conduct that creates risk to users, connected devices or the service.

9. Availability and changes

Yumi is an evolving service. We may add, change or remove features, models, integrations, limits or plans. The service may occasionally be unavailable for maintenance, security or circumstances outside our reasonable control. Where a change materially affects paid access, we will aim to provide reasonable notice.

10. Consumer rights

Nothing in these terms limits or excludes rights or remedies you have under the New Zealand Consumer Guarantees Act 1993, Fair Trading Act 1986, or any other law that cannot lawfully be excluded. If a service does not meet a non-excludable legal guarantee, the remedies available under that law continue to apply.

11. Disclaimers and limitation of liability

Except for rights that cannot be excluded, Yumi is provided “as is” and “as available”. To the maximum extent permitted by law, Yumi Nexus is not liable for indirect, incidental, special or consequential loss arising from the service, AI output, or a third-party or connected service. For a claim relating to a paid service, aggregate liability will not exceed the amount you paid for that service in the 12 months before the event giving rise to the claim. This section does not limit liability for fraud, wilful misconduct, or anything else law does not allow us to limit.

12. Suspension and termination

You may stop using Yumi at any time and request account deletion. We may suspend or terminate access where reasonably necessary to protect users or the service, comply with law, or address a material breach. Where appropriate, we will provide notice and an opportunity to resolve the issue.

13. Changes to these terms

We may update these terms as the service or legal requirements change. The current version and effective date will appear here. Material changes will be communicated through the service or another appropriate channel before they take effect where reasonably practicable.

14. Governing law and contact

These terms are governed by the laws of New Zealand, without limiting mandatory rights you may have under the law of your place of residence.
