Terms of Use

2. Eligibility and your account

You must be at least 13 years old and legally able to enter this agreement. Memori uses the shared Yumi account portal at id.yumi.nexus. You are responsible for accurate account information, safeguarding your credentials and activity under your account.

3. Licence to use the app

Subject to these terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to use Memori for your own lawful purposes on devices you own or control.

For copies obtained through Apple’s App Store, your app licence is also subject to Apple’s Standard Licensed Application End User License Agreement, unless Apple presents a valid separate licence. Apple is not responsible for providing Memori support; Yumi Nexus is responsible for the app and its services.

4. Your content and our limited permission

Your words, study cards, notes and photos remain yours. You give us only the permission reasonably necessary to host, process, back up, synchronise and generate the results you request. You represent that you have the right to add the content and that it does not violate law or another person’s rights.

5. AI, translation and voice features

Memori can generate study-card content, translations and speech audio using AI. AI output can be incomplete or wrong. You are responsible for reviewing output before relying on it, especially for translation, pronunciation, professional, legal, medical or safety-related use.

AI features require an internet connection. Free accounts currently receive daily allowances of 10 card generations, 10 new AI voice clips and 30 translations. We may adjust limits to maintain service quality and will present current limits in the app.

6. Memori Pro subscriptions

• Memori Pro removes standard free-tier limits, subject to reasonable safeguards against automated or abusive use. Monthly, quarterly and annual plans may be offered. Eligible new subscribers receive a seven-day free trial where shown in the purchase screen.
• Payment is charged to your Apple ID. The subscription automatically renews unless cancelled at least 24 hours before the end of the current billing period.
• Manage or cancel the subscription in your App Store account settings. Cancel before a free trial ends to avoid a charge.
• Prices, taxes, eligibility and local currency are shown by Apple before purchase. Refund requests are handled by Apple under its policies and applicable law.
• Deleting the app or your Memori account does not automatically cancel an App Store subscription. Cancel it separately through Apple.

7. Acceptable use

You must not misuse Memori or related services. This includes bypassing quotas or subscription controls, using automated systems to consume AI services at abnormal volume, gaining unauthorised access, disrupting the service, reverse-engineering protected service components except where law expressly permits it, or using Memori to violate law or another person’s rights.

8. Availability and changes

We may add, change or remove features, models, voices, limits or plans as the product evolves. Where a change materially affects existing paid access, we will aim to provide reasonable notice. The service may occasionally be unavailable for maintenance, security or circumstances outside our reasonable control. If Memori is discontinued, we will aim to provide reasonable notice and an opportunity to export your collection.

9. Consumer rights

Nothing in these terms limits or excludes rights or remedies you have under the New Zealand Consumer Guarantees Act 1993, Fair Trading Act 1986, or any other law that cannot lawfully be excluded. If Memori does not meet a non-excludable legal guarantee, the remedies available under that law continue to apply.

10. Disclaimers and limitation of liability

Except for rights that cannot be excluded, Memori is provided “as is” and “as available”. To the maximum extent permitted by law, Yumi Nexus is not liable for indirect, incidental, special or consequential loss. Our aggregate liability for a claim relating to a paid service will not exceed the amount you paid for that service in the 12 months before the event giving rise to the claim. This section does not limit liability for fraud, wilful misconduct, or anything else that law does not allow us to limit.

11. Suspension and termination

You may stop using Memori and delete your account at any time. We may suspend or terminate access where reasonably necessary to protect users or the service, comply with law, or address a material breach. Where appropriate, we will provide notice and an opportunity to resolve the issue. Subscription cancellation is handled separately through Apple.

12. Changes to these terms

We may update these terms as the product or legal requirements change. The current version and effective date will appear here. Material changes will be communicated in the app or through another appropriate channel before they take effect where reasonably practicable.

13. Governing law and contact

These terms are governed by the laws of New Zealand, without limiting mandatory rights you may have under the law of your place of residence.
